| Charitable Gift Annuity |
| The Charitable Gift Annuity is a contract wherein you tranfer
cash or other property to the Virginia College Fund for a
commitment by the Fund to pay you a specified amount each year during the remainder of
your life or for a specified period of time. |

| This transaction is both the purchase of an annuity and a charitable
contribution. The value of the property transferred to the Virginia
College Fund exceeds the annuity guaranteed by the Fund. You make a charitable
gift in the amount of the excess, and the amount so contributed is an allowable
contribution deduction. |
